BlackRock Takes $2.8B Stake in Humana Clinic Venture

Humana said Tuesday that BlackRock will replace private equity firm Welsh, Carson, Anderson & Stowe (WCAS) as its partner in a venture that owns nearly 150 senior primary care clinics, in a deal valued at about $2.8 billion. Private capital is stepping in. The insurer gets more room to run.

The arrangement is a straightforward swap of financial backers. BlackRock will acquire the majority ownership stake WCAS previously held. Humana's CenterWell division keeps a minority stake and continues to manage and operate every clinic.

The Deal Structure

Humana says the transaction provides growth capital, lowers the company's cost of capital and significantly reduces liabilities on its balance sheet. That's a case built on financial discipline rather than expansion at any price, and it's the kind of capital-structure housekeeping shareholders tend to reward.

Still, the headline number needs context. "The $2.8 billion represents the value of WCAS's stake rather than announced proceeds to HUM," said Evercore ISI analyst Elizabeth Anderson. Humana isn't pocketing $2.8 billion. The figure measures the value of the outgoing partner's stake.

Anderson pointed to where the real benefit lies. "The main benefit of the transition is that it grants HUM more time to further develop the portfolio of clinics (and raise profitability) and further delay the date they have to exercise their option," she added.

The Timeline and the Option

The buyout mechanics stretch well into the future. Starting in 2028, CenterWell will have the option to purchase clinics from the joint venture. If it hasn't acquired all the clinics by the end of 2033, BlackRock can exit through a sale process, while CenterWell holds the right to submit the first offer.

That structure gives Humana a defined runway and a first-mover advantage, while giving BlackRock a clear exit path. It's a market-tested arrangement: private capital funds the buildout, the operator proves the model, and the parties settle up on agreed terms. No government program underwrites it.

A Second Deal With BlackRock

This isn't the first time Humana and BlackRock have done business this year. The companies previously agreed to divest Humana's minority stake in Gentiva, a provider of hospice and palliative care services, to an investor consortium that includes BlackRock. Two transactions in one year signal a company actively reshaping its portfolio and leaning on private investors to do it.

The latest transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals. Humana said it isn't expected to have a material impact on its 2026 adjusted earnings guidance.

Why This Matters:

Senior primary care is a sector where pressure to deliver results while controlling costs never lets up, and this deal shows private capital still plays a central role in funding that work. By shifting a large ownership stake to BlackRock, Humana lightens its balance sheet and buys time to improve clinic profitability before it must decide whether to buy the clinics outright. Regulatory approvals still required before closing remind investors that large healthcare transactions face scrutiny. The open question is whether the clinics can reach the profitability needed to make CenterWell's 2028-to-2033 purchase option worth exercising. Those judgments will turn on performance, not policy.
