NEXTDC Board Withdraws CEO Bonus Plan After Delays

NEXTDC’s board withdrew a resolution proposing performance rights and restricted rights for CEO Craig Scroggie under the company’s fiscal 2027 long-term incentive plan, after the data centre operator cut its revenue forecast and paused future developments. Scroggie will give up his fiscal 2027 bonus opportunities. The board’s decision puts executive compensation and project delays in the same corporate ledger.

Who Controls the Pay Decisions

The board also withdrew a separate resolution that sought shareholder approval to increase the maximum aggregate annual remuneration of non-executive directors by A$300,000 ($210,660). That proposed increase is off the table. Incumbent non-executive directors, meanwhile, agreed to an immediate voluntary 10% reduction in their current fees.

Those are distinct decisions: one concerned the maximum pool available for non-executive director remuneration, and the other concerned the fees directors currently receive. The company said the incumbent directors agreed to reduce those current fees voluntarily. The article gives no individual fee amounts and does not say what any director’s revised fee will be.

Scroggie’s bonus opportunities were also subject to a board resolution seeking approval. The board withdrew that resolution, and Scroggie will forgo the opportunities. The report doesn’t state the value of the rights or the amount of compensation he might otherwise have received. Corporate pay remains a matter handled through board decisions and shareholder approval, rather than any process described as community oversight.

Project Delays, Revenue Deferred

At one of NEXTDC’s major Melbourne projects, delays to electricity network upgrades mean about A$140 million in contracted customer revenue for the financial year will be deferred. The company also cut its revenue forecast and paused future developments last week. The report does not provide the revised forecast, identify the affected customers, or say when the deferred revenue will be recognized.

The stated cause of the deferral is specific: electricity network upgrades were delayed. The company’s report links that delay to contracted revenue moving out of the financial year. It does not describe a grassroots response, mutual aid effort, or direct action connected to the project. Nor does it name any nonprofit or other institutional helper. What it does describe is a company responding through forecasts, development decisions, board resolutions, and executive compensation arrangements.

Board Changes and Shareholder Process

Current Chairman Douglas Flynn reaffirmed his intention to retire from the board once a new chairman is in place, after a short handover period. NEXTDC said it expected to appoint two new non-executive directors in the first calendar quarter of 2027. The report does not name the prospective directors or the next chairman.

NEXTDC was due to hold its annual general meeting on November 20. Shareholder approval had been sought for the proposed increase in the maximum aggregate annual remuneration of non-executive directors, but the board withdrew that resolution. The report provides no further details about the meeting or other matters shareholders may consider. It records corporate decisions and planned appointments; it describes no electoral solution or public process beyond the company’s own shareholder mechanism.

The exchange rate stated in the report was $1 = 1.4241 Australian dollars. The report was filed by Shivangi Lahiri in Bengaluru and edited by Chris Reese. Across the account, the immediate changes are concrete: Scroggie gives up bonus opportunities, directors accept a voluntary fee reduction, a proposed remuneration increase is withdrawn, and contracted revenue is deferred after a project delay.
